Graduated from Lancaster University with 2.1 Law LLB (Hons) Degree in 2011. Studied the Legal Practice Course at the College of Law in Manchester. Currently working as a Solicitor with Berg in the corporate department, having previously spent time in the commercial litigation and real estate teams as a Trainee Solicitor and also the consumer litigation department at Stephensons Solicitors.

  • Incorporated new companies.
  • Managed a £3,000,000 share sale transaction of a regional estate agency company to a national PLC. Co-ordinated the company reorganisation prior to completion with the company’s accountant, reviewed and negotiated the indemnities and terms of the Share Purchase Agreement, interviewed clients in respect of the warranties and prepared and negotiated the Disclosure Letter and the Disclosure Bundle, liaised with all parties involved and dealt with the completion and post-completion formalities.
  • Acted for a national PLC for the respective purchases of shares and certain business assets of two regional property management companies.
  • Completed the purchase of business assets and advised upon a Franchise Agreement for a city centre retail client.
  • Assisted Partners from inception to completion on the share sale of an international digital technology company for £8,000,000 to a company based in the United States of America. Noteworthy tasks included the management of the data room, due diligence, disclosure exercises and meeting and liaising with all parties involved in the transaction.
  • Prepared for the completion of transactions by compiling completion bundles, managing page turn exercises, preparing stock transfer forms, drafting completion board minutes and managing the signing of documents at completion meetings. Also dealt with the transfer of funds, post-completion matters and the filing of relevant documents at Companies House.
  • Advised upon and completed the buy-back of a company’s own shares pursuant to the terms of a Put and Call Option Agreement.
  • Assisted the head of department in reducing the share capital of a client’s company by researching the procedure, reporting on the findings and preparing relevant documentation for the reduction to take effect.
  • Company secretarial work to include the preparation and filing of documents with Companies House within the applicable time period and reporting to clients.
  • Reconstituted the statutory books for a group of companies, having identified various flaws in the existing books to ensure they were suitable upon the sale of the group to an overseas company.
